Partner Terms & Conditions

Welcome to Nixat Info Tech Pvt. Ltd.’s Partner Program. These Partner’s Terms & Conditions (“Terms”) outline the rules, responsibilities, benefits, and expectations between the Nixat Info Tech Pvt. Ltd. (“Provider”) and the Channel Partner (“Partner”).

By submitting the Partner’s Registration Form, you agree to comply with these Terms.

• Appointment & Scope

1. 1. The Partner is appointed as a non-exclusive channel partner to promote and sell the Provider’s products and services.
   2. These Terms do not create any form of employment, franchise, or joint venture relationship.
   3. The Partner may represent the Provider only as permitted under these Terms.

• Registration & Verification

1. 1. Partner’s registration is subject to approval and verification by the Provider.
   2. The Partner must submit accurate and valid documents during registration.
   3. The Provider reserves the right to accept or reject any registration without providing a reason.

• Responsibilities of the Partner

1. 1. Promote the Provider services ethically and professionally.
   2. Provide accurate information to clients, without over commitments or false promises.
   3. Follow pricing, policies, and brand guidelines provided by the Nixat Info Tech Pvt. Ltd..
   4. Maintain confidentiality of the customers and business data.
   5. Support customers until completing the onboarding process by the Provider support team.

• Responsibilities of the Provider

1. 1. Provide updated product information, marketing materials, and training.
   2. Support the Partner with onboarding, integration, and technical assistance.
   3. Provide commission payments based on agreed terms.

• Sales & Commission

1. 1. Commission will be provided only for verified and successfully converted sales.
   2. Commission structure will be shared in written format during partner onboarding.
   3. The Partner is responsible for submitting correct client details for commission eligibility.
   4. Any fraudulent activity will result in an immediate termination of partnership and cancellation of commissions.
   5. To be eligible for renewal commissions, the Partner must achieve the minimum monthly sales volume specified during partner onboarding.

• Payment Terms

1. 1. Once the first payment cycle starts, the Partner is required to submit a monthly bill at the end of each month. The corresponding commission will be credited to the Partner’s account by the 20th of the next month.
   2. Applicable taxes and deductions will be applied as per Government rules.
   3. Payments will be made only through the bank transfer or digital mode provided by the Nixat Info Tech Pvt. Ltd..

• Confidentiality

1. 1. Partners must not disclose any business data, pricing, financial information, or customer details to the third parties.
   2. All materials shared by the Provider are confidential and must not be copied or reused without permission.

• Intellectual Property

1. 1. All trademarks, logos, software, and creative assets remain as the property of the Nixat Info Tech Pvt. Ltd..
   2. The Partner is granted limited rights to use branding only for sales and marketing as authorized.

• Misconduct & Termination

The Provider reserves the right to terminate the partnership immediately if:

1. The Partner misuse the Provider services.
2. Fraud, misconduct, misuse of data, or violation of terms occurs.
3. The Partner fails to meet sales requirements.
4. Upon termination:
   1. The partner must stop using all marketing materials.
   2. Outstanding commissions may be withheld in case of disputes or fraud.

• Liability

1. 1. The Provider is not responsible for commitments made by the Partner outside the official offerings.
   2. The Partner shall indemnify the Provider for any loss caused due to misrepresentation or negligence.

• Amendment of Terms

The Provider may update these Terms at any time. Continued partnership after updates constitutes acceptance of the revised terms.

• Governing Law

These Terms are governed by the laws of the Republic of India. Any disputes shall be resolved under the jurisdiction of the courts where the Nixat Info Tech Pvt. Ltd. is registered.
